Expert Author Agreement

This Expert Author Agreement ("Agreement") governs your contribution of articles, videos, images, and other content ("Contributions") to the Animedix platform ("Platform") operated by Animedix by SIVRA Inc. ("Animedix," "we," "us," or "our").

By registering as an Expert Author or by submitting any Contribution, you agree to this Agreement in addition to our Terms of Use, Privacy Policy, and Platform Disclosures.

1. Your Contributions

You retain ownership of your original Contributions. You grant Animedix a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, reproduce, adapt, translate, publish, display, distribute, and otherwise use your Contributions on and in connection with the Platform, including for promotion, indexing, and derivative educational products.

This license survives termination of your account for Contributions that have been published, so long as they remain part of the Platform's educational catalog.

2. Your Warranties

You represent and warrant that, for each Contribution:

• it is your original work, or you have obtained all rights and consents necessary to grant the license in Section 1;
• it does not infringe any third party's intellectual property, privacy, publicity, or other rights;
• it does not contain protected health information ("PHI") or any information that identifies a specific patient;
• it is not defamatory, misleading, fraudulent, unlawful, obscene, or harassing;
• any factual claims, statistics, citations, and quotations are accurate to the best of your knowledge;
• any AI-assisted content is identified as such and independently verified by you before submission;
• you have disclosed any material financial, commercial, or personal conflicts of interest relevant to the Contribution.

3. Editorial Rights

Animedix has full editorial control over the Platform. We may:

• edit Contributions for clarity, style, length, accuracy, or compliance (including addition of links, disclaimers, and legal notices);
• decline to publish any Contribution;
• unpublish, remove, or archive published Contributions at any time, with or without notice, if we reasonably believe doing so is necessary to protect users, the Platform, or Animedix.

Substantive edits that materially alter your meaning will be made only with your consent where practicable.

4. Attribution

Published Contributions will be attributed to your Expert Author profile by default. You may request removal of attribution in connection with a specific Contribution; Animedix will consider such requests in good faith but is not obligated to unpublish Contributions previously accepted.

5. Independent Contractor Relationship

You are an independent contributor. Nothing in this Agreement creates an employment, agency, partnership, or joint-venture relationship. You are responsible for your own taxes and other obligations.

6. Compensation

Unless otherwise expressly agreed in writing, Contributions are made voluntarily and without monetary compensation. Any compensation arrangements will be set forth in a separate written agreement.

7. Indemnification

You agree to defend, indemnify, and hold harmless Animedix and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of:

• your breach of this Agreement or of any warranty in Section 2;
• your Contributions, including any claim that a Contribution infringes a third party's rights or contains PHI;
• any inaccurate factual claim, citation, or medical statement in your Contributions, to the extent not introduced by Animedix's editorial edits.

8. Termination

You may stop contributing at any time. Animedix may suspend or terminate your Expert Author status at any time, with or without cause, effective on notice.

On termination, sections 1 (License), 2 (Warranties as they relate to previously submitted Contributions), 7 (Indemnification), 9 (Governing Law), and 10 (Dispute Resolution) survive.

9. Governing Law

This Agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.

10. Dispute Resolution

Any dispute arising out of this Agreement is subject to the arbitration and class-action-waiver provisions of the Animedix Terms of Use.
