Investor Intelligence Disclosure

Effective Date: 20 July 2026 · Version 2026-07-20

Provisional draft — pending final review by counsel

This document is a working draft prepared by Animedix. It has not been reviewed or approved by outside legal counsel. It is provided as a transparent placeholder while our formal legal framework is finalised and is not a substitute for legal advice.

The Animedix "Investor Intelligence" surfaces — including PDUFA plays, portfolio, stock watchlist, stock predictions, catalyst scores, and company detail pages — present analytics, forecasts, and probability estimates about pharmaceutical companies, drugs, and regulatory events.

This Disclosure explains what those surfaces are, what they are not, and the limitations you must understand before using them. It supplements our Platform Disclosures and Terms of Use.

1. Not Investment Advice

Animedix does not provide investment, financial, tax, legal, or accounting advice.

Nothing on the Investor Intelligence surfaces — no metric, ranking, prediction, confidence score, watchlist entry, portfolio computation, or catalyst score — is a recommendation to buy, sell, or hold any security, option, derivative, or other financial instrument. Nothing on these surfaces constitutes an offer or solicitation to invest in any security or to enter into any transaction.

You should consult a qualified financial professional before making any investment decision.

2. Not an Investment Adviser or Broker-Dealer

Animedix is not registered as an investment adviser under the Investment Advisers Act of 1940 or under the laws of any state. Animedix is not registered as a broker-dealer under the Securities Exchange Act of 1934. Using the Platform does not create an advisory, brokerage, or fiduciary relationship of any kind.

3. Model-Based Outputs — Not Statements of Fact

The Investor Intelligence surfaces present outputs generated by statistical and machine-learning models. These outputs are probabilistic estimates based on assumptions and historical data patterns. They are not statements of fact.

Terms used on these surfaces — including "success probability," "confidence score," "catalyst score," "PDUFA outcome estimate," "investment signal," "recommendation," "risk," "opportunity," and "prediction" — are defined by the underlying model and may not correspond to real-world investment returns, clinical effectiveness, regulatory approval, market reaction, or any other outcome.

Historical model performance, where displayed, does not guarantee future performance. Models can be wrong, and their errors can be systematic.

4. Data Sources and Latency

The Investor Intelligence surfaces integrate data from public sources including regulatory databases (for example, ClinicalTrials.gov, FDA resources), published literature (for example, PubMed), news outlets, market-data providers, and other third-party feeds.

  • We do not control third-party sources and cannot guarantee their accuracy, completeness, or timeliness.
  • Data may be delayed, revised, or restated.
  • Company financials and stock-price context are provided for informational reference only and may not reflect real-time market conditions.
  • Inclusion of information about a company, drug, or event is not an endorsement or investment recommendation.

5. No Personalization; No Individual Circumstances

The Investor Intelligence surfaces do not evaluate your individual financial situation, investment objectives, risk tolerance, time horizon, tax posture, or portfolio composition. Even the "Portfolio" feature is a personal tracking convenience — it does not assess suitability, rebalance your holdings, or recommend allocations.

Statements about probabilities, outcomes, or company developments should not be interpreted as predictions about what will happen to your specific investments.

6. Assumption of Risk

You expressly assume all risk associated with reliance on the Investor Intelligence surfaces, including the risk that any output is inaccurate, incomplete, outdated, misinterpreted, or unsuitable for your purposes.

Investing in securities — including pharmaceutical and biotechnology securities — involves substantial risk of loss, including total loss of principal. Pre-approval biotechnology stocks are especially volatile and subject to binary regulatory outcomes.

To the fullest extent permitted by law, Animedix disclaims all liability for any decision, action, or loss resulting from your use of the Investor Intelligence surfaces. This limitation is in addition to the disclaimers and liability limits set out in our Terms of Use.

7. Geographic Scope

The Investor Intelligence surfaces are intended for users located in the United States. They are not directed at users in any jurisdiction where their availability, distribution, or use would be contrary to local law or regulation, including jurisdictions in which Animedix or a required person is not authorized or registered.

8. Changes
